Agreement to Terms

By using the services provided by MULTIPAY, you agree to be bound by these Terms and Conditions. Please read them carefully. If you do not agree with any part of these terms, you should not use our services.

Amendments to Terms

We may amend these Terms and Conditions at any time by posting the revised terms on our website. Your continued use of our services after the posting of any amendments constitutes your acceptance of the revised terms. It is your responsibility to review these Terms and Conditions periodically for any changes.

Keeping Your Details Up to Date

Please keep your contact details up to date. Let us know immediately if any information you’ve given us changes, and we will update it.

Complaints

We are committed to providing excellent service. If you feel that we have not met your expectations, or if you have any other form of complaint, please let us know.

You may inform us by telephone or email using the contact details provided on our Contact Us page.

  • We will try to acknowledge any complaints you have about your payment instrument or the service we provide to you within 2 business days.
  • We will aim to resolve your complaint within 8 weeks of receiving it.
  • We have internal procedures for handling complaints fairly and promptly.

External Complaint Resolution: If you are still not satisfied after we have responded to your complaint, and if your complaint falls within the Financial Ombudsman Service’s jurisdiction, you may be able to take your complaint to the Ombudsman for banking services and investments. Eligibility criteria and information on the procedures involved are available on the following website: https://www.obsi.ca. Please note that the size of your commercial organization may impact your rights to use this channel of complaint.

Introduction

MULTIPAY TRANSFER LTD (“MULTIPAY,” “we,” “us,” or “our”), with registered company number BC1488831 and Money Services Business (MSB) license number C100000257, is authorized to provide money transfer, foreign exchange, and related financial services. Our registered beneficiary address is 300-3665 Kingsway, Vancouver BC V5R 5W2 Canada. These Terms and Conditions (“Terms”) govern your access to and use of MULTIPAY’s services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

For the purposes of these Terms:

  • “Company,” “customer,” “you,” or “your” refers to the legal entity or individual in whose name the service is provided and who agrees to these Terms.
  • “Account” refers to the MULTIPAY account opened by you to access our services.

MULTIPAY primarily communicates with you electronically, via email, secure messaging within our platform, or other electronic means. We will provide you with important Account information, security alerts, and updates regarding our services. You are responsible for maintaining a valid and accessible email address and regularly checking for communications from MULTIPAY.

Eligibility

To be eligible to use our services, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into binding agreements under applicable law.
  • Comply with all applicable laws and regulations.

By using our services, you represent and warrant that you meet these eligibility requirements. MULTIPAY reserves the right to request additional verification information at any time to confirm your eligibility.

Account Registration and Management

Account Opening: To access and use our services, you must register for an Account with MULTIPAY. We offer accounts for both corporate entities and individuals.

Information Accuracy: You must provide accurate, complete, and up-to-date information during the registration process and maintain the accuracy of this information throughout your use of our services. Failure to provide accurate information may result in the suspension or termination of your Account.

Corporate Accounts: Businesses and organizations must provide all required documentation to verify their legitimacy, including but not limited to company registration documents, beneficial ownership information, and authorized signatory details.

Individual Accounts: Individuals must provide valid identification and other information as required to verify their identity.

Account Security: You are responsible for maintaining the confidentiality of your Account credentials, including your username and password. You are liable for all activities that occur under your Account. Notify MULTIPAY immediately of any unauthorized access to or use of your Account.

Services Offered

MULTIPAY provides the following services, subject to these Terms and any additional terms applicable to specific services:

Payment Services: Facilitating the transfer of funds between accounts, both domestically and internationally.

Foreign Exchange (FX) Services: Converting one currency to another at prevailing exchange rates.

Virtual IBAN Services

Virtual IBAN Processing and Account Management

The Client acknowledges and agrees that the virtual IBANs (VIBANs) associated with their Multipay account are issued through Multipay Transfer Ltd and its authorized banking partners. The Client understands, accepts, and expressly consents that Multipay Transfer Ltd, through its designated financial service providers, processes all incoming and outgoing payments related to their VIBAN account. By accepting these Terms & Conditions, the Client provides their explicit consent for Multipay Transfer Ltd and its authorized partners to handle, process, and execute all payment transactions related to their VIBAN account, and acknowledges that Multipay Transfer Ltd shall not be held liable for any complications arising from transaction execution, provided such transactions are processed in accordance with our established operational procedures and regulatory requirements.

The Client agrees that all payment transactions conducted through their VIBAN account are subject to the operational procedures, terms, and conditions established by Multipay Transfer Ltd and its financial partners. These procedures encompass, but are not limited to, security protocols, regulatory compliance verification, transaction limits, processing timeframes, and authentication requirements as determined by Multipay Transfer Ltd and applicable regulatory standards.

The Client further acknowledges that Multipay Transfer Ltd reserves the right to decline, suspend, or delay any VIBAN transaction that fails to meet our internal compliance and operational criteria, including but not limited to regulatory requirements, anti-money laundering policies, fraud prevention measures, or concerns regarding account funding adequacy. Such decisions may be made at the sole discretion of Multipay Transfer Ltd to ensure compliance with applicable laws and to protect the integrity of our payment services.

The Client agrees to indemnify and hold harmless Multipay Transfer Ltd, its officers, directors, employees, and authorized agents from any claims, losses, damages, or expenses arising from or related to VIBAN processing activities, including disputes concerning fraud allegations resulting from the Client’s actions, omissions, or misrepresentations. This indemnification provision shall not extend to claims arising from gross negligence or intentional misconduct by Multipay Transfer Ltd.

Compliance with Laws and Regulations

General Compliance: You agree to comply with all applicable laws and regulations, including but not limited to those relating to anti-money laundering (AML), counter-terrorist financing (CTF), sanctions compliance, and data protection.

Prohibited Activities: You agree not to use our services for any illegal, fraudulent, or unauthorized purpose, including but not limited to:

  • Money laundering
  • Terrorist financing
  • Fraud
  • Illegal gambling
  • Sale of prohibited goods or services
  • Any activity that violates applicable laws or regulations

Information Requests: MULTIPAY may request additional information from you at any time to comply with legal and regulatory requirements or to process your transactions. You agree to provide such information promptly and accurately. Failure to provide requested information may result in delays, suspension, or termination of your Account.

Account Restrictions: MULTIPAY reserves the right to refuse to open an Account, restrict Account access, or terminate an Account if we have reason to believe that you are engaged in any prohibited activity or that your Account poses a risk to our business or to the financial system.

Fees and Charges

You agree to pay all applicable fees and charges associated with your use of our services, as disclosed on our website or otherwise communicated to you. Fees may vary depending on the type of service, transaction amount, currency, and other factors. MULTIPAY reserves the right to change its fees at any time upon notice.

Intellectual Property

All content and materials on the MULTIPAY website and platform, including but not limited to logos, trademarks, text, graphics, and software, are the property of MULTIPAY or its licensors and are protected by copyright and other intellectual property laws. You may not use, reproduce, or distribute any content from our website or platform without our prior written consent.

Disclaimer of Warranties

Our services are provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied. MULTIPAY does not warrant that our services will be uninterrupted, error-free, or secure.

Limitation of Liability

To the fullest extent permitted by applicable law, MULTIPAY shall not be liable for any indirect, incidental, special, or consequential damages, including, but not limited to, lost profits, arising from or in connection with your use of our services. Our total liability to you for any damages arising from or related to these terms and conditions shall not exceed the total amount of fees paid by you to MULTIPAY during the six months prior to the event giving rise to the liability.

We will make commercially reasonable efforts to ensure that our services are uninterrupted and accessible at a reasonable speed. However, we cannot guarantee (except as required by law) that our services will always be available, uninterrupted, or free from faults. This is partly because we rely on third-party providers for certain aspects of our service. If you have a MULTIPAY account, we will notify you of any material changes to our system that may affect your ability to use the MULTIPAY account.

Indemnification

You agree to indemnify and hold harmless MULTIPAY, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or relating to your use of our services or your breach of these Terms.

Termination

MULTIPAY may terminate your Account and access to our services at any time, with or without cause, upon notice to you. You may terminate your Account at any time by contacting us. Upon termination, you remain responsible for any outstanding fees or charges.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration. The arbitration shall take place in Vancouver, British Columbia.

Amendments

MULTIPAY reserves the right to modify these Terms at any time by posting the revised Terms on our website or otherwise notifying you. Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms.

Entire Agreement

These Terms constitute the entire agreement between you and MULTIPAY relating to your use of our services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Data Protection and Privacy

Canadian Data Protection Regulation (PIPEDA): MULTIPAY also complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) of Canada. We are committed to ensuring that your personal information is handled responsibly and transparently. You have the right to access your personal information, request corrections, and withdraw consent for data processing, subject to legal or contractual restrictions. Data Processing Consent:

By entering into this Agreement, you grant MULTIPAY (and authorize any person acting on your behalf) permission to collect, store, and process personal information for the purpose of providing our services to you. This consent does not affect any rights or obligations you or we have under applicable data protection laws.

You can withdraw your consent by closing your Account, which will terminate the Agreement between you and us. If you do this, we will cease using your information for the purpose of providing our services, but we may be required to retain your information for other legal reasons.
